1. Scope of Application
These Terms of Service apply to all business relationships between M. Kühne GmbH ("Provider") and its business clients ("Client") regarding consulting, strategy, or digital services. These terms apply exclusively in a B2B context as defined under §14 BGB.
2. Services
The Provider offers business consulting and automation solutions. Details and scope of services are individually agreed upon by contract or booking. No obligation exists beyond explicitly agreed deliverables.
3. Contract Conclusion
A contract is concluded upon written confirmation by the Provider or automated booking confirmation. Verbal or informal offers are non-binding until confirmed in writing.
4. Payment Terms
Unless otherwise agreed, invoices are payable within 7 days without deduction. The Provider reserves the right to require advance payment for new clients.
5. Cancellation & Rescheduling
Appointments may be rescheduled up to 24 hours in advance without penalty. No-shows or late cancellations may be billed at full price.
6. Liability
The Provider is liable only for gross negligence or willful misconduct. Liability is limited to direct damages and excludes lost profits or indirect damages.
7. Intellectual Property
All content and results delivered remain the intellectual property of the Provider until full payment is received. Usage rights are granted only after payment.
8. Confidentiality
Both parties agree to maintain strict confidentiality over all non-public business information.
